Legal Disclaimer & Binding Contract: By registering, logging in, or uploading content to your Business Portal account, you (the "Merchant") are agreeing to the terms below. You explicitly state and warrant that you possess the full legal authority to represent the business, its products, pricing, promotions, and copyrighted material online. If you do not agree to these terms, or if you do not have the legal right to represent this brand, you must immediately cease use of the Business Portal.
1. Authorization & Content Licensing
I hereby grant and license to Visit Niagara Falls and its parent company, Data Premise Ltd., a perpetual, worldwide, non-exclusive, royalty-free, and transferable right to use, display, reproduce, and distribute all text, images, logos, videos, product catalogs, service menus, pricing, and promotional data (the "Content") that I provide or upload to the platform.
This license includes the right for Visit Niagara Falls to display the Content on its primary website, affiliated websites, social media channels, email newsletters, and promotional materials in order to drive traffic and provide exposure to my business.
2. Intellectual Property & Indemnification
I represent and warrant that I am the sole owner of the Content, or that I have obtained all necessary licenses, clearances, and permissions to use and upload the Content (including all photography, videos, and music). I explicitly agree that I will not upload copyrighted materials, stock photography, or intellectual property belonging to third parties without strict legal authorization.
Indemnification: I agree to fully indemnify, defend, and hold harmless Visit Niagara Falls, Data Premise Ltd., and its officers against any and all legal claims, damages, lawsuits, or financial losses (including attorney's fees) arising from allegations of copyright infringement, trademark violation, or false advertising resulting from the Content I upload to the platform.
3. Accuracy of Information, Pricing & Coupons
I acknowledge that the primary purpose of my directory listing is to provide accurate, up-to-date information to consumers visiting the Niagara Falls region.
- Honoring Offers: If I utilize the platform to publish coupons, discounts, or promotional offers, I am legally bound to honor those offers to consumers who present them, subject only to the explicit expiration dates and terms I outline within the coupon description.
- Zero Platform Liability: I understand that Visit Niagara Falls acts solely as a publishing medium. The platform bears zero liability for consumer disputes, refund requests, or customer service issues arising between my business and the consumer.
- Content Updates: I am solely responsible for logging into the Business Portal to update my operating hours, pricing, and service availability. Visit Niagara Falls is not responsible for damages caused by outdated information displayed on my listing.
4. AI Content Optimization
I understand that Visit Niagara Falls may utilize Artificial Intelligence (AI) tools to parse, summarize, or optimize the text descriptions and tags I provide in order to improve Search Engine Optimization (SEO) and platform discoverability. I authorize the platform to generate these optimized derivative works, but acknowledge it is my responsibility to review my public listing to ensure the AI-optimized text accurately reflects my brand and services.
5. Fees, Subscriptions, and Billing
For premium listings and paid directory memberships:
- Pricing: Membership prices are locked in as stated on the platform at the time of purchase, provided the membership remains active and current.
- Automatic Renewal: All payments are processed upfront at the beginning of the respective billing cycle (monthly or annually) via our secure payment processor, Stripe. By entering my payment details, I authorize automatic recurring deductions for my membership plan.
- Billing Failures: If a payment fails or a credit card expires, the platform will attempt to notify me. Continued failure to remit payment will result in the immediate suspension, downgrading, or removal of my premium listing.
6. Platform Discretion & Termination
I may request the cancellation and termination of my membership at any time via the billing section of the Business Portal. Cancellation will take effect at the end of my current paid billing cycle. No prorated refunds will be issued for partial months or years.
Visit Niagara Falls retains the absolute right and full discretion to reject, modify, or permanently delete my Content, listing, or account at any time, without prior notice or refund, if the platform determines that my Content is offensive, illegal, fraudulent, generates excessive consumer complaints, or otherwise violates the spirit of this Agreement.
